Nancy Fallon-Houle, Business Lawyer
Nancy Fallon-Houle is a business lawyer for small to mid-sized businesses,
handling their business acquisition transactions (M&A), securities law, and
corporate law matters. She has owned Velocity Law, a boutique business law
firm in suburban Chicago IL for 25 years. The firm itself is a small business (1
lawyer and 2 assistants), and Nancy is an entrepreneur. Before that,
Nancy learned her craft working in “BigLaw” as a corporate, securities and
M&A lawyer, at Katten Law, a large downtown Chicago law
firm.
Nancy handles the legal work and deal docs for the Sale of a
Business or Buying a Business. She helps the business owner prepare the
business for sale, respond to Buyer’s Due Diligence inquiries, prepares, and
negotiates deal documents, and tends the deal to closing.
She
prepares the deal docs and compliance work for Issuers raising private investor
capital in seed round, angel round, and smaller stage equity rounds or
SAFEs. She prepares and files the SEC & state securities law
compliance on private capital raises.
She handles startups,
business formations, “Corporate Clean-Up,” Board Governance, shareholder and
partner agreements, Operating Docs, NDAs, Contracts, and general corporate
counsel-type items.
